Service Ownership, Licensing, Intellectual Property, and Access Rights Agreement

Service Ownership, Licensing, Intellectual Property, and Access Rights Agreement

Last Updated: July 12, 2025

These Service-Specific Terms and Conditions ("Agreement") govern services provided by Demand Boost, Inc. ("Agency") to its customers ("Client"), including website design and development, website hosting, email services, customer relationship management (CRM), lead tracking, domain registration, call tracking, search engine optimization (SEO), and related technology services.

Unless otherwise expressly agreed in writing, Agency provides these services through an agency-managed, subscription-based, or licensed-service model. Payment of recurring service fees does not automatically constitute a purchase or transfer of Agency-owned software, intellectual property, systems, or other proprietary assets.

These terms supplement Agency's General Terms and Conditions and any applicable service-specific agreements. All provisions are subject to applicable law, third-party platform requirements, and any separately executed written agreement between Agency and Client.

1. Website Design, Development, Content, and Ownership

Unless otherwise expressly agreed in a separate written agreement signed by both parties, websites designed, developed, created, customized, or provided by Agency as part of its ongoing website services shall remain Agency-owned or Agency-licensed assets to the extent Agency possesses the applicable ownership or licensing rights.

Agency retains all applicable intellectual property rights in its original website designs, layouts, page structures, templates, source code, custom programming, scripts, styling, graphics, visual elements, written content, landing pages, forms, integrations, and other website components created or independently developed by Agency.

Client receives a limited, non-exclusive, non-transferable license to use the website and applicable Agency-owned materials for its business during the active service relationship, subject to payment of applicable fees and compliance with this Agreement.

Unless otherwise agreed in writing, Client shall not sell, sublicense, reproduce, distribute, transfer, or provide Agency-owned website materials to third parties for reuse, modification, or commercial exploitation outside the authorized service relationship.

Client-Provided Materials:
All original content, photographs, logos, trademarks, videos, business information, and other materials supplied by Client shall remain the property of Client or their respective lawful owners. Client grants Agency permission to use, reproduce, modify, and display such materials as reasonably necessary to perform the contracted services.

Third-party software, themes, plugins, fonts, stock images, libraries, and other licensed materials remain subject to the ownership rights and license terms of their respective providers. Agency does not claim ownership of third-party intellectual property.

Website Ownership Transfer:
Client may request to purchase or acquire transferable rights to a website developed by Agency. Any transfer shall require a separate written agreement identifying the assets included, applicable purchase or transfer fees, exclusions, third-party licensing restrictions, and transfer conditions.

No ownership transfer shall occur automatically through payment of recurring service fees.

2. Website Administrative Access and Development Environment

Agency retains administrative and operational control over Agency-managed websites, development environments, repositories, configuration files, integrations, and related systems.

Unless otherwise agreed in writing or required by applicable law, Agency is not obligated to provide Client or third-party consultants with administrative credentials, source-code repositories, hosting control panels, development tools, or access to proprietary website infrastructure.

Agency may provide limited access or functionality at its discretion, subject to reasonable security requirements and the terms of the applicable service.

Any access provided shall not constitute a transfer of intellectual property ownership or authorization to copy, redistribute, or commercially exploit Agency-owned materials.

3. CRM, Lead Management, and Marketing Automation Services

CRM platforms, lead tracking applications, customer communication systems, appointment scheduling tools, automation workflows, sales pipelines, reporting dashboards, custom integrations, scripts, templates, and related systems developed, licensed, configured, or provided by Agency shall remain under Agency's management and control, subject to applicable third-party platform rights.

Agency retains its rights in proprietary CRM configurations, reusable workflows, automation templates, internal processes, software components, integration frameworks, and other independently developed intellectual property.

Client receives a limited license to use the applicable CRM services during the active subscription or service relationship.

Client shall not acquire ownership of Agency's proprietary software, platform infrastructure, reusable configurations, automation systems, or internal methodologies solely by paying setup, subscription, usage, or management fees.

Client Data Ownership:
Client retains ownership of its business information, contact records, customer information, lead data, appointment details, and other business data provided by Client or collected on Client's behalf, subject to applicable law and third-party rights.

Agency does not acquire ownership of such Client Data by storing, processing, or managing it.

Data Export Upon Termination:
Upon termination or cancellation of CRM services, Client may request an export of its available CRM data, including customer contact information, leads, and other reasonably exportable business records.

Requests must be submitted in writing before the effective termination date.

Agency shall provide the requested data in a reasonably accessible electronic format, such as CSV or another commonly supported format, subject to technical capabilities, security verification, and applicable law.

Standard exports of readily available Client Data shall be provided without an additional export fee. Custom formatting, complex data transformations, or other optional migration assistance may be subject to separately agreed fees.

Data Retention and Deletion:
Unless otherwise required by law or a separate written agreement, Agency may retain Client Data for up to thirty (30) calendar days following service termination.

During this period, Agency shall preserve the Client Data reasonably necessary to fulfill a timely export request, subject to applicable law and technical limitations disclosed to Client.

After thirty (30) calendar days following service termination, Agency may permanently delete Client Data from active CRM systems without further notice.

Once deleted, such information may be irretrievable, and Agency shall have no obligation to restore it.

Agency may retain limited information where required for legal, accounting, security, dispute-resolution, or regulatory purposes. Backup copies may remain temporarily until overwritten or deleted according to applicable retention schedules.

Client acknowledges its responsibility to request and securely preserve its data within the designated export period.

Agency may restrict access to proprietary platform administration, internal configurations, automation logic, and system infrastructure. Such restrictions shall not eliminate Client's legally or contractually required rights to its business information.

Transfer of proprietary CRM systems, custom software, or transferable Agency-owned assets shall require a separate written agreement.

4. Website Hosting, Servers, and Infrastructure

This section applies to website hosting accounts and infrastructure owned, leased, licensed, established, or provided by Agency as part of its hosting services.

Unless otherwise expressly agreed in writing, all Agency-controlled hosting accounts, servers, virtual private servers (VPS), hosting control panels, server configurations, security systems, backups, monitoring systems, and related infrastructure shall remain under Agency's administrative control.

Client purchases hosting services and does not automatically acquire ownership of Agency's hosting accounts, server infrastructure, administrative credentials, or proprietary server configurations.

Agency is not required to provide direct access to its hosting accounts, servers, control panels, or infrastructure to Client or third parties unless otherwise agreed in writing or required by applicable law.

Agency may maintain multiple client websites on shared or managed infrastructure and may restrict access to protect the security, confidentiality, and operation of its systems and other customers' information.

Client retains its applicable rights to Client-owned data and materials hosted through Agency's services.

Hosting fees do not constitute a purchase of server hardware, hosting infrastructure, or Agency-owned technical configurations.

Any hosting migration, account transfer, or delivery of transferable assets shall be governed by a separate written agreement, subject to Client's existing rights and applicable legal obligations.

5. Email Hosting, Email Accounts, and Related Services

Email hosting, mailbox provisioning, email server management, email security, spam filtering, email routing, domain-based email configurations, and related services provided through Agency-owned or Agency-managed infrastructure shall remain under Agency's administrative control.

Client purchases access to the applicable email services and does not automatically acquire ownership of Agency's email hosting accounts, server infrastructure, management consoles, proprietary configurations, or software licenses.

Agency may restrict administrative access to its email hosting infrastructure, server settings, authentication systems, security configurations, and third-party email management accounts.

Email Data Ownership:
Client retains its applicable rights to business email messages, mailbox contents, contacts, calendars, attachments, and other Client-owned information stored through the email services, subject to applicable law and third-party rights.

Client Responsibility for Email Migration:
Client is solely responsible for backing up, exporting, transferring, and migrating all email messages, mailbox contents, contacts, calendars, attachments, and other associated data to an alternative email service provider before the effective termination date of the email services.

Agency is not responsible for performing email migrations, creating backups for Client's future use, or transferring email data to another provider unless such services have been expressly agreed upon in writing.

Email Service Termination and Data Loss:
Upon termination or cancellation of email services, Client's access to email accounts and associated data may be immediately discontinued, and all stored email data may be permanently deleted without further notice, subject to applicable law and any separately executed written agreement.

Agency shall have no obligation to retain, recover, restore, retrieve, or provide access to email messages, mailbox contents, or associated data following service termination, except where required by applicable law or a separately executed written agreement.

Client acknowledges that failure to complete the necessary backups and migration before the termination date may result in the permanent and irreversible loss of email data.

Agency shall not be liable for data loss resulting from Client's failure to complete the required migration before service termination, to the extent permitted by applicable law.

No Post-Termination Email Recovery Services:
Agency does not provide post-termination email data recovery, restoration, or migration services. Client is solely responsible for ensuring that all necessary email information has been successfully transferred and verified before the termination date.

Client is responsible for arranging replacement email services, updating applicable email configurations, and ensuring continuity of business communications.

Agency does not guarantee uninterrupted email delivery, permanent storage, or recovery of deleted email messages, except as expressly provided in an applicable service agreement.

6. Domain Name Registration, Management, Ownership, and Transfer

Domain names registered, acquired, transferred, renewed, or maintained by Demand Boost, Inc. ("Agency") in connection with Agency-provided services shall be managed in accordance with the applicable domain registration agreement, the identity of the registered domain name holder, and relevant registrar, registry, and ICANN policies.

Agency-Owned Domain Names:
Where Agency is the lawful registered name holder of a domain name and no separate written agreement grants ownership or registration rights to Client, Agency shall retain its applicable rights to that domain name. Agency may grant Client a limited, non-exclusive, non-transferable right to use the domain during the active service relationship, subject to payment of applicable fees and compliance with the service agreement. Payment for domain registration, renewal, hosting, website development, or other services shall not, by itself, constitute a transfer of Agency-held domain registration rights to Client.

Client-Owned Domain Names Transferred to Agency:
If Client transfers an existing domain name to an Agency-managed registrar account for the purpose of website hosting, domain administration, DNS management, renewal, or other services, Client shall retain ownership and applicable registration rights to that domain name, provided Client remains the lawful registered name holder. Such transfer shall be for administrative and management purposes only and shall not constitute a sale, assignment, or transfer of domain ownership to Agency.

While the Client-owned domain remains under Agency's management, Agency may administer the registration, maintain DNS configurations, and pay applicable domain renewal fees as part of the contracted services. Agency's payment of renewal fees or administrative control over the registrar account shall not transfer ownership of the domain name from Client to Agency.

Transfer of Client-Owned Domain Names:
Client may request the transfer of a Client-owned domain name to another registrar or registrar account. To facilitate a transfer before termination of the applicable services, Client should submit a written request to Agency sufficiently in advance of the effective termination date.

Upon receiving a valid request from the authorized domain holder, Agency shall provide the applicable domain transfer authorization code (EPP/Auth Code), where required and available, and reasonably assist with unlocking the domain or completing other registrar-side steps necessary to facilitate the transfer, in accordance with applicable registrar, registry, and ICANN policies.

Agency shall not unreasonably withhold, delay, or obstruct a transfer to which Client is entitled under applicable domain registration policies. Any applicable transfer restrictions, verification requirements, or mandatory processing periods imposed by the registrar or registry shall continue to apply.

Client Responsibility for Completing Domain Transfers:
Client is solely responsible for initiating and completing the transfer with the receiving registrar, paying any applicable transfer or renewal fees, updating registrant and administrative contact information, verifying ownership and contact details, configuring DNS records and nameservers, and ensuring that the domain remains active and properly renewed after the transfer.

Client is also responsible for confirming that the receiving registrar has successfully completed the transfer and that the domain's expiration date, renewal settings, billing information, and renewal notifications are accurate and up to date.

Agency shall not be responsible for domain expiration, loss of registration, website interruption, email disruption, or other damages resulting from Client's failure to complete the transfer, maintain accurate registration information, configure renewal notifications, or renew the domain after responsibility for its management has transferred to Client, to the extent permitted by applicable law.

Domain Management Upon Service Termination:
Upon cancellation, expiration, or termination of services, Agency's obligation to manage, administer, or pay renewal fees for domain names associated with the terminated services shall cease, except where otherwise required by applicable law, registrar policies, or a separate written agreement.

Client is responsible for requesting and arranging the transfer of Client-owned domain names before the effective service termination date whenever reasonably possible. However, termination of Agency's services shall not extinguish Client's lawful registration rights or relieve Agency of any mandatory obligation to facilitate an authorized domain transfer.

Termination of Agency-Owned Domain Names:
Where Agency is the lawful registered name holder of a domain name and Client has no independent ownership, registration, or contractual transfer rights, Client's authorization to use that domain name shall terminate upon the effective termination date of the applicable service, unless otherwise agreed in writing.

Following termination, Agency may, at its discretion and subject to applicable law, contractual obligations, and registrar policies, immediately discontinue Client's use of an Agency-owned domain name, redirect it, reassign its use to other Agency services or customers, allow its registration to expire, or release it through the applicable registrar.

Client acknowledges that an Agency-owned domain name may become unavailable for future use immediately following service termination. Agency does not guarantee that such a domain name can be recovered, restored, repurchased, or transferred to Client after the effective termination date.

Any requested purchase or transfer of an Agency-owned domain name must be expressly agreed upon in writing before the effective termination date, including any applicable purchase price, transfer fees, and conditions. Agency is not obligated to sell or transfer an Agency-owned domain name unless otherwise required by applicable law or an existing agreement.

Third-Party Rights and Applicable Policies:
Nothing in this Agreement shall override the lawful rights of a registered domain name holder, applicable ICANN transfer policies, registrar or registry requirements, trademark rights, or other mandatory legal obligations. Agency's administrative control over a registrar account shall not, by itself, establish ownership of domain names lawfully registered to Client or another party.

7. Call Tracking, Telephone Numbers, and Communication Systems

Call tracking platforms, call routing configurations, recording systems, reporting dashboards, communication workflows, tracking scripts, and other proprietary telecommunications-related systems established or licensed by Agency shall remain under Agency's administrative control, subject to third-party provider rights.

Telephone numbers obtained and provisioned through Agency-managed accounts shall be administered according to the applicable telecommunications provider's terms, contractual arrangements, and federal and state number-portability requirements.

Payment for call tracking services does not automatically transfer ownership of Agency's underlying software, accounts, routing configurations, or proprietary tracking systems.

Where Client qualifies as the authorized end user of a telephone number and possesses applicable number-portability rights, nothing in this Agreement shall prohibit a lawful porting request.

Agency may charge separately agreed, lawful fees for additional migration, configuration, or transition services, but shall not impose restrictions or fees that unlawfully interfere with required number portability.

Call recording, call monitoring, text messaging, and related communication services shall be subject to applicable consent, privacy, telecommunications, and messaging requirements.

8. Search Engine Optimization (SEO) Services and Proprietary Strategies

All independently developed SEO methodologies, research processes, optimization frameworks, technical procedures, reporting systems, automation tools, internal templates, proprietary software, and confidential business strategies used by Agency shall remain Agency's intellectual property to the extent protectable under applicable law.

Client's payment for SEO services compensates Agency for the performance of agreed services and does not automatically transfer ownership of Agency's proprietary systems, research frameworks, internal tools, or confidential methodologies.

Agency may retain exclusive administrative control over its SEO software, reporting platforms, keyword research systems, monitoring tools, automation services, and internal management accounts.

Agency is not obligated to provide direct access to proprietary SEO systems, internal tools, confidential processes, or third-party licenses maintained by Agency unless otherwise required by applicable law or written agreement.

Client retains its rights to Client-owned websites, business information, and other materials independently belonging to Client.

Publicly available information, general SEO principles, and Client-owned assets shall not become Agency property merely because Agency uses them while performing SEO services.

9. Third-Party Consultants and Access Restrictions

Agency recognizes that Client may engage independent consultants, auditors, marketing advisors, developers, or competing service providers to evaluate its business operations and marketing performance.

However, unless otherwise required by applicable law, platform policies, or written agreement, Agency reserves the right to decline requests for direct access to Agency-owned or Agency-managed proprietary systems, infrastructure, software, internal configurations, confidential processes, and administrative environments.

Agency may provide relevant service reports, performance summaries, or other information as required by applicable service agreements, platform policies, or law.

The engagement of a third-party consultant does not automatically create a right to access Agency's proprietary systems or intellectual property.

10. Service Cancellation, License Termination, and Transition

Upon expiration, cancellation, or termination of the applicable service, Client's license to use Agency-owned or Agency-licensed systems, websites, software, and proprietary materials may terminate in accordance with the applicable service agreement.

Agency may discontinue the corresponding services, disable Agency-provided access, and cease maintaining licensed systems, subject to applicable law, contractual notice requirements, and Client's independent rights.

Termination does not automatically transfer Agency-owned intellectual property, proprietary configurations, software, websites, hosting accounts, or other licensed assets.

Client shall retain applicable rights to Client-owned materials and business data. Where required by law or contract, Agency shall provide reasonable means for Client to obtain such information.

Any requested purchase, migration, licensing arrangement, or transfer of Agency-owned assets must be separately agreed upon in writing.

Agency may charge reasonable, disclosed fees for optional transition assistance and additional services where legally permissible.

Service-Specific Data Termination Requirements:
CRM data exports shall be governed by the CRM data export and retention provisions of Section 3.

Email data migration and termination shall be governed by Section 5. Client must complete all necessary email backups and migrations before the effective termination date. The thirty (30) day CRM export period does not apply to email services.

11. No Implied Transfer of Ownership

Except as expressly stated in a separate written agreement, the provision of services, payment of recurring fees, payment of advertising or hosting expenditures, or continued use of Agency-provided systems shall not independently constitute a sale, assignment, or transfer of Agency-owned intellectual property or proprietary infrastructure.

Any transfer of ownership or licensing rights must identify the assets being transferred, the applicable consideration, any excluded materials, and relevant third-party licensing restrictions.

12. Payment, Nonpayment, and Service Suspension

Client is responsible for timely payment of all applicable service fees, subscription charges, hosting fees, software licensing fees, and other amounts specified in the applicable service agreement.

Agency reserves the right to suspend or discontinue services for overdue payments in accordance with the applicable service agreement and subject to any legally required notice or other applicable restrictions.

Service suspension may affect access to websites, hosting services, email accounts, CRM systems, marketing automation, reporting platforms, and other Agency-provided services.

Client acknowledges that suspension or termination of services may result in interruptions to website availability, email communications, lead management, and other business operations.

Agency shall not be responsible for business losses resulting from a lawful suspension or termination due to Client's nonpayment, to the extent permitted by applicable law.

Payment of overdue amounts does not guarantee restoration of previously deleted information or discontinued services.

Any data access, retention, export, or deletion following suspension or termination remains subject to the applicable service-specific provisions and mandatory legal requirements.

13. No Guarantee of Marketing or Business Results

Agency provides marketing, advertising, SEO, website development, CRM, and related services using commercially reasonable efforts and professional judgment.

However, Agency does not guarantee specific search engine rankings, website traffic, advertising impressions, clicks, leads, appointments, conversions, sales, revenue, return on advertising spend, or other business results unless expressly agreed upon in writing.

Client acknowledges that marketing performance may be influenced by factors outside Agency's control, including market competition, advertising platform algorithms, consumer behavior, economic conditions, Client's pricing, business operations, and third-party service changes.

Past performance, projections, estimates, and examples do not constitute guarantees of future results.

14. Third-Party Software, Platforms, and Service Availability

Agency may use third-party software, applications, hosting providers, email providers, advertising platforms, CRM systems, APIs, plugins, and other technology services to deliver contracted services.

Such third-party providers may modify pricing, functionality, licensing terms, policies, technical requirements, or service availability without Agency's control.

Agency does not guarantee the continued availability, functionality, or compatibility of third-party products or services.

Agency shall not be responsible for interruptions, service changes, account restrictions, platform outages, or technical failures caused by third-party providers, except to the extent liability cannot lawfully be excluded or arises from Agency's own breach of applicable obligations.

Where reasonably necessary, Agency may modify technical configurations, substitute service providers, or adjust service delivery methods while maintaining the general scope of the contracted services.

Any material changes to pricing or contracted services shall be handled according to the applicable service agreement and legal requirements.

15. Backups, Data Security, and Disaster Recovery

Agency may implement reasonable backup, monitoring, security, and disaster recovery procedures for Agency-managed systems and infrastructure.

Unless expressly stated in a separate written agreement, Agency does not guarantee continuous backup availability, indefinite data retention, or successful restoration of all information following a system failure, security incident, accidental deletion, or service termination.

Client is responsible for maintaining independent copies of important business records, documents, website materials, email communications, and other critical information where such copies are reasonably available.

Agency may charge separately agreed fees for optional restoration, migration, or disaster recovery assistance, except where such assistance is already included in the contracted services or otherwise required by law.

Agency shall implement security measures appropriate to its applicable contractual and legal obligations and shall not use this provision to disclaim mandatory data security, privacy, or breach notification responsibilities.

Backup systems are not intended to serve as permanent archives of Client information following service termination.

16. Client Responsibilities and Legal Compliance

Client is responsible for providing accurate, lawful, and authorized business information, advertising claims, marketing materials, photographs, trademarks, customer records, and other content used in connection with Agency's services.

Client represents that it possesses the necessary rights, licenses, permissions, and authorizations for materials supplied to Agency.

Client is responsible for obtaining legally required customer consents and authorizations relating to its business operations, including applicable requirements for marketing communications, email campaigns, SMS messaging, call recording, customer information collection, and other regulated activities.

Agency remains responsible for its own applicable legal obligations and for compliance responsibilities expressly assigned to Agency under the applicable service agreement.

Client shall cooperate with Agency in addressing compliance concerns, inaccurate information, unauthorized content, and other issues that may affect service delivery.

Agency may decline to publish or distribute materials that it reasonably believes violate applicable law, third-party platform policies, or the rights of others.

17. Confidentiality and Proprietary Business Information

Agency's proprietary business processes, pricing methodologies, software configurations, advertising strategies, internal documentation, technical procedures, automation systems, and other nonpublic business information may constitute confidential or proprietary information.

Client shall not disclose, reproduce, distribute, or commercially exploit Agency's confidential information except as authorized in writing or otherwise permitted by law.

Agency shall likewise protect Client's confidential business information and customer data in accordance with applicable contractual obligations and law.

Confidentiality obligations shall not apply to information that is publicly available without breach, independently developed without misuse of confidential information, lawfully obtained from another source, or required to be disclosed by law.

These confidentiality obligations shall survive termination of the service relationship for as long as the applicable information remains protected under the governing agreement or applicable law.

18. Governing Terms and Acknowledgment

By accepting these Service-Specific Terms and Conditions through an applicable service agreement or other legally effective acceptance process, Client acknowledges that Agency may provide services through proprietary, licensed, or Agency-managed systems.

Client further acknowledges that the purchase of ongoing services does not automatically include ownership of the systems, software, configurations, or intellectual property used to deliver those services.

These provisions shall be interpreted consistently with applicable federal and California law, relevant third-party platform terms, and any separately executed written agreement between Agency and Client.

In the event of a conflict between these terms and a separately executed written agreement, the executed agreement shall control unless expressly stated otherwise.

If any provision of this Agreement is determined to be unenforceable, the remaining provisions shall continue in effect to the extent permitted by applicable law.

Termination and Suspension of Services

Demand Boost, Inc. ("Agency") reserves the right to suspend, restrict, or terminate Client's access to the website, services, accounts, software, or other Agency-provided resources if Client violates these Terms and Conditions, fails to fulfill applicable payment obligations, engages in unlawful activities, misuses Agency-owned systems, compromises security, or otherwise materially breaches the applicable service agreement.

Agency may suspend access immediately and without prior notice when reasonably necessary to address unlawful activity, security threats, fraud, or other urgent risks. For other violations, Agency may provide notice and a reasonable opportunity to remedy the violation, as required by the applicable agreement or law.

Upon termination, Client's authorization to use Agency-owned or Agency-licensed websites, software, systems, intellectual property, and other proprietary materials shall cease, except where continued use is expressly authorized in writing or otherwise required by applicable law.

Termination does not automatically transfer ownership of Agency-managed accounts, websites, hosting infrastructure, CRM systems, advertising configurations, software, or other Agency-owned intellectual property to Client or any third party.

Client remains responsible for any outstanding fees or payment obligations incurred before the effective termination date, subject to applicable law and the terms of the applicable service agreement.

Following termination, access to Client Data, email accounts, CRM records, and other information shall be governed by the applicable service-specific data export, retention, and deletion provisions. Nothing in this section limits Client's rights to Client-owned information or any mandatory rights under applicable law.

Governing Law and Dispute Resolution

These Terms and Conditions, and any disputes arising out of or relating to the services provided by Demand Boost, Inc., shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles, except where applicable federal law or other mandatory legal requirements provide otherwise.

Except where prohibited by applicable law or expressly agreed otherwise in writing, disputes arising out of or relating to these Terms and Conditions or the services provided by Agency shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its applicable Commercial Arbitration Rules.

Unless otherwise required by applicable law or agreed upon in writing, arbitration shall take place in California before a single neutral arbitrator. The arbitrator may award any relief available under applicable law, subject to the enforceable terms of the parties' agreement. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction when necessary to protect confidential information, intellectual property, or other legally protected interests, without waiving the right to arbitrate the underlying dispute.

The parties shall bear arbitration fees and costs as determined by the applicable arbitration rules and governing law. Nothing in this provision shall prevent either party from exercising rights or pursuing remedies that cannot lawfully be waived or subjected to mandatory arbitration.
